Virtual Assistant Service – Terms and Conditions
1. Service Overview
1.1 The Service includes provision of a remote Virtual Assistant (VA) for up to 10 hours per week of business support.
1.2 Services include general admin tasks, inbox/calendar management, CRM support, content scheduling, website edits, and other activities explicitly listed on our website.
1.3 Tasks are completed under your direction. Sharp Brains provides the resource (VA), not task supervision or strategic advice
2. Subscription and Payment
2.1 The monthly subscription fee is £100 + VAT, payable in advance via Stripe.
2.2 Services begin only after full payment is received.
2.3 Subscriptions auto-renew monthly unless cancelled in accordance with Clause 5.
2.4 Sharp Brains charges for allocated VA time, regardless of actual usage. No discounts or refunds will be issued for underutilized hours.
3. Service Delivery
3.1 VAs are based outside the UK, primarily in India and Pakistan, and are fluent in English.
3.2 VAs will operate remotely using Sharp Brains’ infrastructure. The cost includes internet, equipment, and monitoring tools.
3.3 The assigned VA will work up to 10 hours per calendar week. Unused hours do not roll over.
3.4 Communication is through agreed digital platforms; phone/video meetings may be arranged as needed.
3.5 Tasks must be clearly defined, legal, and reasonable within the agreed scope. The client remains responsible for assigning, reviewing, and approving all deliverables.
4. Client Responsibilities
4.1 You must provide clear task instructions, resources, and timely feedback.
4.2 If insufficient work is assigned, Sharp Brains is not liable to refund or credit any unused time.
4.3 The client is responsible for verifying the accuracy and quality of VA outputs.
4.4 Sharp Brains does not independently validate, test, or supervise each deliverable unless otherwise contracted.
5. Cancellations and Notice Period
5.1 Subscriptions require a 1-month written cancellation notice via
email.
5.2 Cancellation will take effect at the end of the subsequent billing
cycle.
5.3 No partial-month refunds will be issued after the money-back period.
6. Money-Back Guarantee
6.1 First-time subscribers are eligible for a 100% refund if cancellation is requested within the first 7 calendar days of service activation.
6.2 No refunds are provided beyond the first 7 days, including for underutilization or dissatisfaction without clear, documented service failure.
7. Scope of Service
7.1 The following services are excluded from the base package:
- Cold calling or telemarketing
- Graphic design or branding
- Copywriting or long-form content
- Paid ads campaign management
- Legal, tax, or strategic consulting
- Website or app development
- Data scraping, data mining, or domain warm-up
- Sales calls, negotiations, or closing deals
- Any tasks requiring regulated or licensable expertise
7.2 Tasks exceeding the 10-hour/week cap may not be performed unless additional time is purchased separately.
8. Data Protection & GDPR
8.1 Sharp Brains takes data security seriously and uses secure infrastructure for service delivery.
8.2 Since VAs are located outside the UK and EU, you (the client) are responsible for ensuring your use of this service complies with the UK GDPR and/or EU GDPR, including:
- Performing a Data Protection Impact Assessment (DPIA) where necessary
- Updating your own privacy policies
- Obtaining required user consents
- Ensuring appropriate data transfer mechanisms are in place (e.g. SCCs)
regulatory due diligence.
9.1 All VAs are contractually bound by internal confidentiality agreements.
9.2 A separate Non-Disclosure Agreement (NDA) may be signed upon request. The NDA may be bilateral or unilateral, depending on client requirements.
9.3 The client must clearly identify confidential data and provide necessary guidelines on handling it.
9.4 We encourage use of limited-access tools and secure platforms to collaborate with your VA.
10. Liability and Indemnity
10.1 Sharp Brains acts solely as a staffing and service provider for administrative resources.
10.2 The client is fully responsible for task assignment, oversight approvals, and compliance.
10.3 Sharp Brains is not responsible for errors, delays, or damages
arising from VA task execution, nor for indirect, consequential, or punitive damages.
10.4 In all cases, Sharp Brains’ total liability shall not exceed the subscription fee paid in the current billing cycle.
11. Force Majeure
11.1 We are not liable for failure to deliver services due to causes beyond our control, including but not limited to internet outages, power failures, natural disasters, legal restrictions, or health emergencies.
12. Governing Law
12.1 These Terms are governed by and construed in accordance with the laws of England and Wales.
12.2 Any legal disputes will be subject to the exclusive jurisdiction of the courts in England.
13. Amendments
13.1 Sharp Brains may update these Terms from time to time. All updates will be posted on the website and effective immediately unless otherwise stated. Continued use of the service after updates constitutes acceptance.
